THESE ONLINE TERMS OF SERVICE, including the Order(s) and any applicable Service Attachments, which by this reference are incorporated herein (“Agreement”), are a binding agreement between RingCentral UK Limited, a company registered in England and Wales with company number 06737634, (“RingCentral”), and the legal entity identified in the Order (“Customer”). RingCentral and Customer may be individually referred to as a “Party” or collectively as the “Parties”.

RingCentral provides services and equipment intended solely for business use, pursuant to the terms and conditions set forth in this Agreement and on the condition that customer accepts and complies with this Agreement. By electronically signing this Agreement, Customer (a) accepts this agreement and agrees that Customer is legally bound by its terms; and (b) represents and warrant that: (i) its representative is 18 years of age or of legal age to enter into a binding agreement; and (ii) has the right, power, and authority to enter into this agreement on behalf of the corporation, governmental organisation, or other legal entity, and to bind such organisation to these terms. If Customer does not agree to the terms of this agreement, neither Customer nor its End Users may not download, install, or use the services or equipment.

If Customer’s Home Country, as defined below, is any country other than the United Kingdom, please see additional country-specific terms which are applicable to the Service which are available at Country-Specific Terms and incorporated into these RingCentral Terms of Service.

The Parties agree as follows:

1. Definitions

Capitalised terms not defined have the meaning given to them in Exhibit A.

2. Ordering and Term

A. Ordering Services

Customer may order Services by submitting electronically an Order in the format provided by RingCentral on the RingCentral website or, for subsequent orders, via the Administrative Portal. The Order will identify the Services requested by Customer together with: (i) the price for each Service; (ii) scheduled Start Date; (iii) and products leased, licenced or sold to Customer, if any. An Order will become binding when it is executed by the Customer and accepted by RingCentral. RingCentral may accept an Order by commencing performance of the requested Services. The Services will begin on the Start Date. Customer may purchase additional Services, software, and equipment through Orders via the Administrative Portal.

B. Service Descriptions

The Service Attachment(s) applicable to Customer’s Services are incorporated into and forms a part of this Agreement.

RingEX is a cloud-based unified communications service that includes enterprise-class voice, fax, text, call handling, mobile apps, and BYOD capability that integrates with a growing list of applications. The Service Attachment for RingEX is available at https://www.ringcentral.fr/legal/office-service-attachment.html.

C. Equipment

Customer may purchase or rent equipment from RingCentral for use with the Services. The terms and conditions that govern any such transaction can be found at:

D. Term of this Agreement

The Term of this Agreement will commence on the Effective Date and continue until the last Order Form is terminated or expires, unless terminated earlier in accordance with its terms.

E. Services Term and Automatic Renewal

The Services Term will begin on the Start Date of the initial Order and continue for the initial term set forth in the initial Order (“Initial Term”). Upon expiration of the Initial Term, recurring Services will automatically renew for successive periods of the same length as the Initial Term (each a “Renewal Term”) unless the Customer gives notice of non-renewal at least thirty (30) days before the expiration of the Initial Term or the then-current Renewal Term. The term of any recurring Services added to the Account after the initial Order is submitted will start on the Start Date of the subsequent Order, will run coterminously with the then-current Term of any preexisting Services, and will be billed on the same billing cycles as the preexisting Services.

3. Invoicing and Payment

A. Prices and Charges

All prices are identified in British pound sterling or euros, as identified on the website or Administrative Portal. Additional charges may result if Customer activates additional features, exceeds usage thresholds, or purchases additional Services or equipment. Customer will be liable for all charges resulting from use of the Services on its Account.

Recurring charges for the Services begin on the Start Date, and will continue for the Term. Recurring charges (such as charges for Digital Lines, product licences, minute bundles, and equipment rental fees) will, once incurred, remain in effect for the then-current Term. RingCentral will provide notice of any proposed increase in such charges no later than thirty (30) days before the end of the Initial Term or then-current Renewal Term, and any such increase will be effective on the first day of the next Renewal Term.

Outbound calling rates will be applied based on the rate in effect at the time of use. Customer may locate the currently effective rates in the Administrative Portal.

B. Billing and Payment

All Services and equipment must be purchased via valid credit or debit card at the time of purchase. By providing a valid credit or debit card, Customer is expressly authorising all Services and equipment charges and fees to be charged to such payment card. Recurring charges are billed to the credit or debit card associated with your Account monthly in advance for those Services and equipment in the following month. Credit and debit card payments are subject to the approval of the card issuer, and RingCentral will not be liable in any way if a card issuer refuses to accept a credit or debit card for any reason. Customer is responsible for any credit card chargeback or similar fees for refused or rejected payments that RingCentral is entitled to charge under this Agreement. If the payment card associated with Customer’s Account is declined or fails for any reason, RingCentral will send Customer a notice using the contact information associated with Customer’s Account. RingCentral may continue to attempt charging Customer’s payment card for outstanding charges and additional fees along with any other rights and remedies available to RingCentral under this Agreement, at law or in equity.

Unless otherwise stated at the time of purchase or on the billing statement, payment is due in full, without deduction or set-off, within thirty (30) days of the date on the billing statement. Any payment not made when due may be subject to a late payment fee equivalent to the lesser of (i) the rate provided for pursuant to the Late Payment of Commercial Debts (Interest) Act 1998; or (ii) the highest rate allowed by Law. RingCentral’s acceptance of late or partial payments (regardless of how they are marked or designated (including without limitation as ‘Paid in Full’, ‘Accord and Satisfaction’, or similarly)) will not waive, limit, or prejudice in any way RingCentral’s rights to collect any amount due. RingCentral may terminate the Services and this Agreement for non-payment if any fees or charges are not paid within thirty (30) days of the due date.

C. Taxes

All rates, fees, and charges are exclusive of applicable Taxes, for which Customer is solely responsible. Taxes may vary based on jurisdiction and the Services provided. If any withholding tax is levied on the payments, then Customer must increase the sums paid to RingCentral so that the amount received by RingCentral after the withholding tax is deducted is the full amount RingCentral would have received if no withholding or deduction had been made.

D. Billing Disputes

If a Customer reasonably and in good faith disputes any portion of RingCentral’s charges, it must provide written notice to RingCentral within thirty (30) days of the billing date, identifying the reason for the dispute and the amount being disputed. Customer’s dispute as to any portion of the billing statement will not excuse Customer’s obligation to timely pay the undisputed portion of the billing statement. Upon resolution, Customer must pay any unpaid amounts within thirty (30) days. Any amounts that are found to be in error resulting in an overpayment by the Customer will be applied as a billing credit against future charges. Customer will be reimbursed any outstanding billing credits at the expiration or termination of this Agreement.

4. Provision of the Service

A. General Terms

RingCentral will provide the Services as described in the relevant Service Attachment. RingCentral may enhance, replace, and/or change the features of the Services, but it will not materially reduce the core features, functions, or security of the Services during the Term without Customer’s consent.

B. Customer Care
  • Customer must provide all first-tier support to Customer’s End Users. RingCentral may require Customer’s Helpdesk support personnel to complete a series of training courses on RingCentral’s Services. Such training will be provided online by RingCentral at no cost.
  • RingCentral will make second-tier remote support available to Customer’s Helpdesk personnel and/or Account Administrators via centre, which will be available 24/7, to attempt to resolve technical issues with, and answer questions regarding the use of the Services. Onsite and implementation services are not included in the RingCentral Customer Care support.
  • Customer may open a case with RingCentral Customer Care at https://support.ringcentral.com/fr/fr/ressources.html. Any individual contacting Customer Care on behalf of Customer must be authorised to do so on behalf of the Account, and will be required to follow RingCentral’s authentication protocol.
C. Professional Services

RingCentral offers a broad portfolio of professional services that includes onsite and remote implementation services; extended enterprise services including dedicated proactive network monitoring and premium technical support; and consulting. Any such services are governed by this Agreement, the Professional Services terms, and any applicable Statement of Work (SOW), which may be attached hereto.

D. Subcontracting

RingCentral may provide any of the Services hereunder through any of its Affiliates or subcontractors, provided that RingCentral will bear the same degree of responsibility for acts and omissions for those subcontractors acting on RingCentral’s behalf in the performance of its obligations under this Agreement as it would bear if such acts and omissions were performed by RingCentral directly.

5. Use of the Service

A. Service Requirements

The Services are dependent upon Customer’s maintenance of sufficient Internet access, networks and power as set forth in RingCentral’s Technical Sufficiency Criteria, available at https://www.ringcentral.fr/legal/technical-sufficiency-criteria.html. RingCentral will not be responsible for any deficiencies in the provision of the Services if Customer’s network does not meet RingCentral’s Technical Sufficiency Criteria.

B. Use Policies

Customer and its End Users may use the Services only in compliance with this Agreement, applicable Law, and the Use Policies referenced below, which are incorporated into and form part of this Agreement. Customer may not use, or permit the use of the Services, to interfere with the use of RingCentral’s service by others or with the operation of the RingCentral Network. Customer may not resell the Services. Customer must ensure that its End Users comply with the Use Policies. Any breach of this Section (Use Policies) will be deemed a material breach of this Agreement.

RingCentral may update the Use Policies from time to time, and will provide notice to Customer at the email address on file with the Account. Such updates will become effective thirty (30) days after such notice to Customer.

  1. Acceptable Use Policy

    The Services must be used in accordance with RingCentral’s Acceptable Use Policy, available at https://www.ringcentral.fr/legal/acceptable-use-policy.html.

    Notwithstanding anything to the contrary in this Agreement, RingCentral may act immediately and without notice to suspend or limit the Services if RingCentral reasonably suspects fraudulent or illegal activity in the Customer’s Account, material breach of the Acceptable Use Policy, or use of the Services that could interfere with the functioning of the RingCentral Network provided such suspension or limitation may only be to the extent reasonably necessary to protect against the applicable condition, activity, or use. RingCentral will promptly remove the suspension or limitation as soon as the condition, activity or use is resolved and mitigated in full. If Customer anticipates legitimate but unusual activity on its Account, Customer should contact RingCentral Support in advance to avoid any Service disruption.

  2. Emergency Services

    RingCentral’s policy governing the provision of emergency services accessed via the Services is available at https://www.ringcentral.fr/legal/emergency-services.html.

  3. Numbering Policies

    The provision, use, and publication of numbers used in conjunction with the Services are governed by RingCentral’s Numbering Policies, available at https://www.ringcentral.fr/legal/numbering-policy.html.

6. Termination

A. Termination for Cause

Either Party may terminate this Agreement and any Services purchased hereunder in whole or part by giving written notice to the other Party if the other Party: i) breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after receipt of such notice; ii) at the written recommendation of a government or regulatory agency following a change in either applicable Law or the Services; or iii) upon the commencement by or against the other Party of insolvency, receivership or bankruptcy proceedings or any other proceedings or an assignment for the benefit of creditors.

B. Effect of Termination
  • If Customer terminates the Services, a portion of the Services, or this Agreement in its entirety due to RingCentral’s material breach under Section 6(A) (Termination for Cause), Customer will not be liable for any fees or charges for terminated Services for any period subsequent to the effective date of such termination (except those arising from continued usage before the Services are disconnected), and RingCentral will provide Customer a pro-rata refund of all any prepaid and unused fees or charges paid by Customer for terminated Services.
  • If this Agreement or any Services are terminated for any reason other than as a result of a material breach by RingCentral or as set forth in Section 14(J) (Regulatory and Legal Changes) the Customer must, to the extent permitted by applicable Law and without limiting any other right or remedy of RingCentral, pay within thirty (30) days of such termination all amounts that have accrued prior to such termination, as well as all sums remaining unpaid for the Services for the remainder of the then-current Term.

7. Intellectual Property

A. Limited Licence
  1. Subject to, and conditional upon Customer’s compliance with, the terms of this Agreement, RingCentral grants to Customer and its End User, a limited, personal, revocable, non-exclusive, non-transferable (other than as permitted under this Agreement), non-sublicensable licence to use any software provided or made available by RingCentral to the Customer as part of the Services (“Software”) to the extent reasonably required to use the Services as permitted by this Agreement, only for the duration that Customer is entitled to use the Services and subject to the Customer being current on its payment obligations.
  2. Customer will not, and will not allow its End Users, to:
    • Sublicence, resell, distribute or assign its right under the licence granted under this Agreement to any other person or entity;
    • modify, adapt or create derivative works of the Software or any associated documentation;
    • reverse engineer, decompile, decrypt, disassemble or otherwise attempt to derive the source code for the Software;
    • use the Software for infringement analysis, benchmarking, or for any purpose other than as necessary to use the Services Customer is authorised to use;
    • create any competing Software or Services; or
    • remove any copyright or other proprietary or confidential notices on any Software or Services.
B. IP Rights
  1. RingCentral’s Rights

    Except as expressly provided in this Agreement, the limited licence granted to Customer under Section 7(A) (Limited Licence) does not convey any ownership or other rights or licences, express or implied, in the Services, any related materials, or in any Intellectual Property and no IP Rights or other rights or licences are granted, transferred, or assigned to Customer, any End User, or any other party by implication, estoppel, or otherwise. All rights not expressly granted herein are reserved and retained by RingCentral and its licensors. The Software and Services may comprise or incorporate services, software, technology or products developed or provided by third parties, including open source software or code. Customer acknowledges that misuse of RingCentral Services may violate third-party IP Rights.

  2. Customer Rights

    As between RingCentral and Customer, Customer retains title to all IP Rights that are owned by the Customer or its suppliers. To the extent reasonably required or desirable for the provision of the Services, Customer grants to RingCentral a limited, personal, non-exclusive, royalty-free, licence to use Customer’s IP Rights in the same. Customer must provide (and is solely responsible for providing) all required notices and obtaining all licences, consents, authorisations or other approvals related to the use, reproduction, transmission, or receipt of any Customer Content that includes personal or Confidential Information or incorporates any third-party IP rights.

C. Use of Marks

Neither Party may use or display the other Party’s trademarks, service mark or logos in any manner without such Party’s prior written consent.

8. Confidentiality

A. Restrictions on Use or Disclosures by Either Party

During the Term of this Agreement and for at least one (1) year thereafter, the Receiving Party shall hold the Disclosing Party’s Confidential Information in confidence, shall use such Confidential Information only for the purpose of fulfilling its obligations under this Agreement, and shall use at least as great a standard of care in protecting the Confidential Information as it uses to protect its own Confidential Information.

Each Party may disclose Confidential Information only to those of its employees, agents or subcontractors who have a need to it in order to perform or exercise such Party’s rights or obligations under this Agreement and who are required to protect it against unauthorised disclosure in a manner no less protective than required under this Agreement. Each Party may disclose the other Party’s Confidential Information in any legal proceeding or to a governmental entity as required by Law.

These restrictions on the use or disclosure of Confidential Information do not apply to any information which is independently developed by the Receiving Party or lawfully received free of restriction from another source having the right to so furnish such information; after it has become generally available to the public without breach of this Agreement by the Receiving Party; which at the time of disclosure was already known to the Receiving Party, without restriction as evidenced by documentation in such Party's possession; or which the Disclosing Party confirms in writing is free of such restrictions.

Upon termination of this Agreement, the Receiving Party will promptly delete, destroy or, at the Disclosing Party’s request, return to the Disclosing Party, all Disclosing Party’s Confidential Information in its possession, including deleting or rendering unusable all electronic files and data that contain Confidential Information, and upon request will provide the Disclosing Party with certification of compliance with this subsection.

9. Data Protection

A. Data Privacy

RingCentral respects Customer’s privacy and will only use the information provided by Customer to RingCentral or collected in the provision of the Services in accordance with: (a) the Privacy Notice, available at https://www.ringcentral.fr/legal/privacy-notice.html; and (b) RingCentral’s Data Protection Agreement, available at https://www.ringcentral.fr/legal/dpa.html; each of which are hereby incorporated by reference. RingCentral may update the Privacy Notice and the Data Protection Agreement from time to time, and will provide notice of such update to Customer at the email address on file with the Account. Such updates will be effective thirty (30) days after such notice to Customer.

B. Data Security

RingCentral will take commercially reasonable precautions, including, without limitation, technical (e.g., firewalls and data encryption), administrative and physical measures, to help safeguard Customer’s Account, Account Data, and Customer Content against unauthorised use, disclosure, or modification.

Customer must protect all End Points using industry-standard security measures. Customer is solely responsible to keep all user identifications and passwords secure. Customer must monitor use of the Services for possible unlawful or fraudulent use. Customer must notify RingCentral immediately if Customer becomes aware or has reason to believe that the Services are being used fraudulently or without authorisation by any End User or third party. Failure to notify RingCentral may result in the suspension or termination of the Services and additional charges to Customer resulting from such use. RingCentral will not be liable for any charges resulting from unauthorised use of Customer’s Account.

C. Software Changes

RingCentral may from time to time push software updates and patches directly to Customer’s device(s) for installation and Customer will not prevent RingCentral from doing so. Customer must implement promptly all fixes, updates, upgrades and replacements of software and third-party software that may be provided by RingCentral. RingCentral will not be liable for inoperability of the Services or any other Services failures due to failure of Customer to timely implement the required changes.

10. Limitation of Liability

A. Excluded Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY OR ITS AFFILIATES BE LIABLE FOR (1) INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, REPUTATIONAL, SPECIAL OR PUNITIVE DAMAGES OF ANY KIND; (2) COSTS OF PROCUREMENT, COVER, OR SUBSTITUTE GOODS OR SERVICES; (3) LOSS OF USE, LOSS OR CORRUPTION OF DATA; OR (4) LOSS OF BUSINESS OPPORTUNITIES, PROFITS, GOODWILL, OR SAVINGS, WHETHER IN ANY OF THE FOREGOING, ARISING UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), OR ANY OTHER THEORY OF LIABILITY, EVEN IF SUCH PARTY HAS BEEN INFORMED IN ADVANCE OF SUCH DAMAGES OR SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN. NEITHER PARTY WILL BE LIABLE FOR ACTIONS REASONABLY TAKEN TO COMPLY WITH LAW.

B. Direct Damages

EXCEPT AS SET FORTH HEREIN, THE TOTAL CUMULATIVE LIABILITY OF THE PARTIES UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE PREVIOUS SIX (6) MONTHS. LIMITATIONS UNDER THIS SECTION 10(B) (DIRECT DAMAGES) WILL NOT APPLY TO: I) CUSTOMER PAYMENT OBLIGATIONS; II) EITHER PARTY’S LIABILITY FOR INFRINGEMENT OF THE OTHER PARTY’S IP RIGHTS; III) EITHER PARTY’S LIABILITY RESULTING FROM GROSS NEGLIGENCE, FRAUD, OR WILLFUL OR CRIMINAL MISCONDUCT; OR IV) CUSTOMER’S LIABILITY RESULTING FROM USE OF THE SERVICES IN BREACH OF THE ACCEPTABLE USE POLICY OR EMERGENCY SERVICES POLICY.

NOTHING IN THIS AGREEMENT SHALL LIMIT OR EXCLUDE A PARTY’S LIABILITY ARISING FROM DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FOR ANY OTHER LIABILITY WHICH MAY NOT BE RESTRICTED, LIMITED OR EXCLUDED PURSUANT TO APPLICABLE LAW.

C. Survival

The limitations of liability contained in this Section 10 (Limitation of Liability) will survive termination or expiration of this Agreement and apply in any and all circumstances (except as expressly set forth above), including without limitation in the event of any failure of the essential purpose of any limited warranty or available remedy provided herein.

11. Indemnification

A. Indemnification Obligations

Customer agrees to indemnify and defend RingCentral and its Affiliates at Customer’s expense, from and against any and all third-party claims, arising out of or in connection with: i) material violation of applicable Law by the Customer or its End Users in connection with the use of the Services; ii) use of the Services in a manner not authorised by this Agreement; iii) or iv) failure to promptly install any updates of any software or firmware or accept or use modified or replacement items provided by or on behalf of RingCentral, or iv) claims relating to Customer Content. Further, Customer will indemnify and hold harmless RingCentral against all damages, costs, and legal fees finally awarded against RingCentral by a court of competent jurisdiction in connection with such third-party claim, or agreed to in a written settlement agreement approved in writing by the Customer.

B. Defense and Indemnification Procedures

Any Party seeking defense or indemnification (the “Indemnified Party”) must provide the Party from which it seeks such indemnification or defense (the “Indemnifying Party”) with the following: (a) prompt written notice of the third-party claim, (b) sole control over the defense and settlement of the third-party claim, and (c) reasonable information, cooperation, and assistance in connection with the defense and settlement of the third-party claim. The Indemnified Party’s failure to comply with the foregoing obligations will not relieve the Indemnifying Party of its defense or indemnification obligations under this Section (Indemnification), except to the extent that the Indemnifying Party is prejudiced by such failure. The Indemnified Party will have the right to participate at its own expense in the defense of such third-party claim, including any related settlement negotiations. No such claim may be settled or compromised by the Indemnifying Party without the Indemnified Party’s express written consent (which such consent may not be unreasonably withheld, conditioned, or delayed), unless such settlement or compromise includes a full and complete release of all claims and actions against the Indemnified Party by each party bringing such third-party claim.

12. Warranties

A. RingCentral Warranty

RingCentral will provide the Services using a commercially reasonable level of skill and care, in material compliance with all applicable Laws and otherwise subject to the terms of this Agreement. To the extent permitted by Law, RingCentral shall pass through to Customer any and all warranties RingCentral receives in connection with equipment provided to Customer.

B. Customer Warranty

Customer’s and its End Users’ use of the Services must at all times comply with all applicable Laws and this Agreement.

C. Disclaimer of Warranties

EXCEPT AS SPECIFICALLY SET FORTH IN THIS AGREEMENT AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND RINGCENTRAL MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, QUIET ENJOYMENT, AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE IN TRADE, TOGETHER WITH SIMILAR WARRANTIES, WHETHER ARISING UNDER ANY LAW OR OTHERWISE. TO THE EXTENT THAT RINGCENTRAL CANNOT DISCLAIM ANY SUCH WARRANTY AS A MATTER OF APPLICABLE LAW, THE SCOPE AND DURATION OF SUCH WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Dispute Resolution

A. Good Faith Attempt to Settle Disputes

In the event of any dispute or claim arising out of or relating to the Agreement (a “Dispute”), each Party will appoint a duly authorised representative which will confer with the other Party before either Party brings legal action, to make a reasonable and good faith effort to settle or otherwise resolve such Dispute.

RingCentral is a member of the Communications and Internet Services Adjudication Scheme (CISAS). This is an independent body set up to help resolve any problems with the Plan Services we provide and the service you receive. For more information on how to refer a dispute or complaint to CISAS see www.cisas.org.uk.

B. Venue

In the event that the Parties are unable to resolve a Dispute, any related action, lawsuit, or proceeding must be brought in and adjudicated exclusively by the English Courts. Each Party hereby consents to and agrees to submit to the exclusive venue and personal jurisdiction of such courts with respect to any such actions or lawsuits and irrevocably waives any right that it might have to assert that either forum is not convenient or that any such courts lack jurisdiction.

Nothing in this section shall affect the rights of a small business customer whose Home Country is the United Kingdom, as further described at Section 13A above.

C. Equitable Relief

Any breach of either Party’s IP Rights will cause that Party irreparable harm for which monetary damages will be inadequate and such Party may, in addition to other remedies available at Law or in equity, obtain injunctive relief without the necessity of posting a bond or other security, proof of damages, or similar requirement, in additional to any other relief to which such Party may be entitled under applicable Law.

D. Limitations

Except for actions for nonpayment or liability arising from Section 10 (Indemnification), no claim, suit, action or proceeding relating to this Agreement may be brought by either Party more than two (2) years after the cause of action has accrued. Any actions, lawsuits, or proceedings must be conducted solely on an individual basis and the Parties expressly waive any right to bring any action, lawsuit or proceeding as a class or collective action, private attorney general action or in any other capacity acting in a representative capacity.

14. Miscellaneous

A. Relationship of the Parties

RingCentral and Customer are independent contractors and this Agreement will not establish any relationship of partnership, joint venture, employment, franchise or agency between RingCentral and Customer.

B. Assignment

Neither Party may assign the Agreement or any portion thereof without the other Party’s prior written consent (which such consent may not be unreasonably withheld or delayed), however either Party may assign the Agreement and all of that Party’s rights and obligations thereunder without consent (a) to an Affiliate; (b) to the Party’s successor or surviving entity in connection with a merger, acquisition, consolidation, sale of all or substantially all of its assets used in connection with the provision of Services under this Agreement; or (c) as part of the transfer or disposition of more than fifty percent (50%) of a Party’s voting control or assets. This Agreement will bind and inure to the benefit of the Parties, and their permitted assigns and successors.

C. Notices

Except where otherwise expressly stated in the Agreement, all notices or other communications must be in English and are deemed to have been fully given when made in writing and delivered in person, upon delivered email, confirmed facsimile, or five days after deposit with an reputable overnight courier service, and addressed as follows: to RingCentral at RingCentral, Inc., Legal Dept., c/o Oakwood Corporate Services, 3rd Floor, 1 Ashley Road, Altrincham, Cheshire, WA14, with a copy to [email protected], and to Customer at either the physical address or email address associated with the Customer Account. Customer acknowledges and agrees that all electronic notices have the full force and effect of paper notices.

The addresses to which notices may be given by either Party may be changed upon written notice given to the other Party pursuant to this Section or by Customer in the Administrative Portal.

D. Force Majeure

Excluding either Party’s payment obligations under the Agreement, neither Party will be responsible or liable for any failure to perform or delay in performing to the extent resulting from any event or circumstance that is beyond that Party’s reasonable control, including without limitation any act of God; national emergency; third-party telecommunications networks; riot; war; terrorism; governmental act or direction; change in Laws; fiber, cable, or wire cut; power outage or reduction; rebellion; revolution; insurrection; earthquake; storm; hurricane; flood, fire, or other natural disaster; strike or labor disturbance; or other cause, whether similar or dissimilar to the foregoing, not resulting from the actions or inactions of such Party.

E. Third-Party Beneficiaries

RingCentral and Customer agree that there will be no third-party beneficiaries to this Agreement by virtue of the Contracts (Rights of Third Parties) Act 1999 or otherwise.

F. Internal Customer Activities

RingCentral does not have any obligation to assist in or otherwise mediate in the event of any dispute between Customer representatives or Customer and any third party with respect to ownership or control of any Account or Account Data. All information within RingCentral’s records regarding the ownership or control of an Account or Account Data, Services ordered, and numbers assigned to an Account will be definitive and controlling for purposes of administering the Account. In the event of any such dispute, RingCentral may take any course of action that it deems appropriate based on the information available, which include declining to take any course of action.

RingCentral may access your Account and related data as required to provide the Services. However, RingCentral has no obligation to access your Account, Account Data or any Customer Content for any other purposes. Services do not include or consist of any investigation, review, verification, production, compilation, modification, or other similar services for any Account Data or Customer Content. Services do not include the provision of any legal, accounting or other professional services.

G. Headings, Interpretation

The headings, section titles, and captions used in the Agreement are for convenience of reference only and will have no legal effect. All defined terms include related grammatical forms, and, whenever the context may require, the singular form of nouns and pronouns include the plural, and vice versa. The Parties agree that this Agreement will be deemed to have been jointly and equally drafted by them, and that the provisions of this Agreement therefore should not be construed against a Party or Parties on the grounds that the Party or Parties drafted or was more responsible for drafting the provision(s).

H. Governing Law

The Agreement is governed by the Laws of the England and Wales, excluding its choice of Law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement or Customer’s use of the products or Services.

I. Anti-Bribery

Each Party represents that in the execution of this Agreement and in the performance of its obligations under this Agreement it has complied and will comply with all applicable anti-bribery Laws and regulations, including, without limitation, the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act and similar applicable Laws.

J. Export Control

Any services, products, software, and technical information (including, but not limited to, services and training) provided pursuant to the Agreement may be subject to U.S. or U.K. export Laws and regulations. Customer will not use distribute, transfer, or transmit the services, products, software, or technical information (even if incorporated into other products) except in compliance with U.S., U.K. and other applicable export regulations.

K. Regulatory and Legal Changes

In the event of any change in Law, regulation or industry change that would prohibit or otherwise materially interfere with RingCentral’s ability to provide Services under this Agreement, RingCentral may terminate the affected Services or this Agreement or otherwise modify the terms thereof.

L. Entire Agreement

The Agreement, together with any exhibits, Orders, and Attachments, each of which is expressly incorporated into this Agreement with this reference, constitutes the entire agreement between the Parties and supersedes and replaces any and all prior or contemporaneous understandings, proposals, representations, marketing materials, statements, or agreements, whether oral, written, or otherwise, regarding such subject.

M. Order of Precedence

In the event of any conflict between the documents comprising this Agreement, precedence will be given to the documents in the following descending order: (i) the applicable Order; (ii) Use Policies and Privacy Notice incorporated by reference in this Agreement; (iii) the main body of this Agreement; (iv) the applicable Service Attachment; and (v) and any other document expressly referred to in this Agreement which governs the Services.

N. Amendments

Except as otherwise provided, this Agreement may only be modified by a written amendment (provided electronically or otherwise) executed by authorised representatives of both Parties. In no event will handwritten changes to any terms or conditions, including in the applicable Order, be effective. Notwithstanding the foregoing, RingCentral may update this Agreement or any of its Policies from time to time, and will provide notice to Customer at the email address on file with the Account. Such updates will become effective thirty (30) days after such notice to Customer. In the event that any such update would be of material detriment to Customer and is not required by Law, Customer must inform RingCentral of its objection within ten (10) days of receiving the notice provided under this provision. If the Parties, negotiating in good faith cannot reach agreement within thirty (30) days, Customer may terminate the portion of the Services affected by the change without penalty by written notice to RingCentral. Any use of the Services after the effective date will be deemed Customer’s acceptance of the change.

O. Severability and Waiver

In the event any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, such provision(s) will be stricken and the remainder of this Agreement will remain legal, valid and binding. The failure by either Party to exercise or enforce any right conferred by this Agreement will not be deemed to be a waiver of any such right or to operate so as to bar the exercise or enforcement of any such or other right on any later occasion. Except as otherwise expressly stated in this Agreement, all rights and remedies stated in the Agreement are cumulative and in addition to any other rights and remedies available under the Agreement, at Law, or in equity.

P. Publicity

Notwithstanding anything to the contrary in this Agreement, RingCentral may identify Customer as a customer (including use of any Customer logo or trademark) and may refer to this Agreement during its earnings calls and in connection with its business deals, press releases, and marketing and/or promotional materials.

Q. Execution

Each Party represents and warrants that: (a) it possesses the legal right and capacity to enter into the Agreement and to perform all of its obligations thereunder; (b) the individual executing an Electronic Signature regarding the Agreement on that Party’s behalf has full power and authority to execute and deliver the same; and (c) the Agreement will be a binding obligation of that Party.

R. Electronic Signature and Counterparts

This Agreement may be executed electronically and in separate counterparts each of which when taken together will constitute one in the same original. Each Party agrees that an Electronic Signature, whether digital or encrypted, is intended to authenticate this Agreement and to have the same force and effect as manual signatures.

S. Survival

The rights and obligations of either Party that by their nature would continue beyond the expiration or termination of this Agreement or an Order will survive expiration or termination of this Agreement or the Order, including without limitation payment obligations, warranty disclaimers, indemnities, limitations of liability, definitions and miscellaneous.

Attachment A - Definitions

Definitions. Capitalised terms used in this Agreement but otherwise not defined have the following meaning:

  • Account” means the numbered account established with RingCentral and associated with Customer and the Services provided to Customer under this Agreement. For billing and convenience purposes, multiple services, Digital Lines, or End Users may be included in a single billing account, and/or a single Customer may have multiple billing accounts encompassing different geographic locations, business units, or other designations as requested by Customer and accepted by RingCentral.
  • Account Administrator” means the person(s) who have been granted authority by Customer to set up, amend, or otherwise control settings and/or make additional purchases for the Account via the Administrative Portal. Account Administrators may have varying levels of Account rights, skills, or permissions.
  • Account Data” means: any business contact information provided with the Account; RingCentral-generated logs of calling or other metadata developed or collected in the provision of the Services; configuration data; and records of Digital Lines and any Services purchased under this Agreement.
  • Administrative Portal” means the online administrative portal through which Account Administrators control settings and/or make additional purchases for the Account.
  • Affiliate(s)” means a person or entity that is controlled by a Party hereto, controls a Party hereto, or is under common control with a Party hereto, and “control” means beneficial ownership of great than fifty percent (50%) of an entity’s then-outstanding voting securities or ownership interests.
  • Confidential Information” means any information disclosed by or on behalf of the Disclosing Party) to the Receiving Party that should reasonably be considered as confidential given the nature of the information and the circumstances surrounding its disclosure.
  • Customer Content” means the content of calls, facsimiles, SMS messages, voicemails, voice recordings, shared files, conferences or other communications transmitted or stored through the Services.
  • Digital Line” means a phone number assigned to an End User or a specifically designated location (e.g., conference room) and the associated voice service for inbound and outbound calling that permits an End User generally to make and receive calls to and from the public switched telephone network as well as to and from other extensions within the same Account.
  • Disclosing Party” means the Party disclosing Confidential Information or on whose behalf Confidential Information is disclosed by such Party’s agents, including but not limited to, its Affiliates, officers, directors, employees and attorneys.
  • Dispute” has the meaning set forth in Section 13(A) (Good Faith Attempt to Settle Disputes).
  • Electronic Signature” means an electronic sound, symbol, or process, including clicking a digital button to accept, attached to or logically associated with a contract or other record and executed or adopted by a person with the intent to sign the record.
  • End Point” means an application or device through which any End-User might access and/or use any of the Services, including without limitation IP Desk Phones, Desktop Clients, Web Clients, Mobile Applications, and Software Integrations.
  • End User” means an individual user to whom Customer makes the Services available, and may be a natural person, and may include but is not limited to Customer’s employees, consultants, clients, external users, invitees, contractors and agents.
  • Helpdesk” means first-tier support provided to End Users by Customer.
  • Home Country” means the United Kingdom or the country that is otherwise designated as Your primary or home country in the Order for the Services.
  • Indemnifying Party” and “Indemnified Party” have the meanings set forth in Section 11(C) (Defense and Indemnification Procedures).
  • Initial Term” has the meaning set forth in Section 2(E) (Services Term).
  • Intellectual Property Rights” or “IP Rights” means all common law and statutory rights (whether registered or unregistered, or recorded or unrecorded, regardless of method) arising out of or associated with: (a) patents and patent applications, inventions, industrial designs, discoveries, business methods, and processes; (b) copyrights and copyright registrations, and “moral” rights; (c) the protection of trade and industrial secrets and Confidential Information; (d) other proprietary rights relating to intangible property; (e) trademarks, trade names and service marks; (f) a person’s name, likeness, voice, photograph or signature, including without limitation rights of personality, privacy, and publicity; (g) analogous rights to those set forth above; and (h) divisions, continuations, continuations-in-part, renewals, reissuances and extensions of the foregoing (as applicable).
  • Law” means any law, statute, regulation, rule, ordinance, administrative guidance, treaty or convention, or court or administrative order or ruling of any governing Federal, State, local or non-U.S. governmental body with jurisdiction over the Services.
  • Order(s)” means a request or order for Service describing the type and quantity of Services required by Customer and submitted and accepted by the Parties in accordance with Section 2(A) (Ordering Services). The Order may be presented and executed on the RingCentral website or via the Administrative Portal.
  • Receiving Party” means the Party or its agents, including, but not limited to its Affiliates, officers, directors, employees and attorneys receiving Confidential Information.
  • Renewal Term” has the meaning set forth in Section 2(E) (Services Term).
  • RingCentral Customer Care” means RingCentral’s Customer support operations, available at https://support.ringcentral.com/fr/fr/ressources.html.
  • RingCentral Network” means the network and supporting facilities between and among the RingCentral points of presence (“PoP(s)”), up to and including the interconnection point between the RingCentral’s network and facilities, and the public Internet, private IP networks, and the Public Switched Telephone Network (PSTN). The RingCentral Network does not include the public Internet, a Customer’s own private network, or the PSTN.
  • Service(s)” means all services provided under this Agreement, and set forth in one or more Order(s).
  • Start Date” means the date so identified in the relevant Order or the date on which Customer orders Services via the website or the Administrative Portal.
  • Taxes” means any and all federal, state, local, municipal, foreign and other taxes and fees charged or collected from Customers, including but not limited to any Universal Service Fund, TRS and 911 taxes and fees.
  • Term” means the Initial Term plus any Renewal Terms.
  • Use Policy” refers to any of the policies identified in Section 4(B) (Use Policies).

CES MODALITÉS DE SERVICE EN LIGNE, notamment la ou les Commandes et toutes les Notes de Service qui, par cette référence, sont intégrées aux présentes (« Accord »), constituent un accord obligatoire entre RingCentral UK Limited, une société immatriculée en Angleterre et au Pays de Galles portant le numéro d’entreprise 06737634 (« RingCentral »), et l’entité juridique identifiée dans la Commande (« Client »). RingCentral et le Client peuvent être dénommés ci-après individuellement la « Partie » et collectivement les « Parties ».

RingCentral fournit des services et du matériel destinés exclusivement à un usage professionnel, conformément aux conditions générales énoncées dans le présent Accord et sous réserve que le client accepte et se conforme au présent Accord. Par la signature du présent accord par voie électronique, le Client (a) accepte cet Accord et le fait d’être juridiquement lié par ses modalités ; et (b) déclare et garantit que : (i) son représentant est âgé d’au moins 18 ans ou de l’âge légal pour conclure un accord contraignant ; et (ii) a le droit, le pouvoir et l’autorité de conclure cet accord au nom de la corporation, de l’organisation gouvernementale, ou d’une autre entité juridique, et de lier cette organisation aux présentes dispositions. Si le Client n’accepte pas les dispositions de cet accord, ni le Client ni ses Utilisateurs finaux ne pourront télécharger, installer ou utiliser les services ou le matériel.

Si le Pays d’origine du Client, tel que défini ci-après, n’est pas le Royaume-Uni, consultez les Conditions complémentaires qui s’appliquent au Service dans votre pays, disponibles sur la page Country-Specific Terms et intégrées aux présentes Conditions de service RingCentral.

Les Parties conviennent de ce qui suit :

1. Définitions

Les termes non définis ont la signification qui leur est donnée dans l’Annexe A.

2. Commande et Période

A. Commande de Services

Le Client peut commander des Services en soumettant une Commande par voie électronique au format fourni par RingCentral sur le site Web RingCentral ou, pour les commandes suivantes, via le Portail administratif. La Commande permettra d’identifier les Services demandés par le Client en même temps que : (i) le prix de chaque Service ; (ii) la Date de début planifiée ; (iii) et les produits loués, sous licence ou vendus au Client, le cas échéant. Une Commande ne devient effective que lorsqu’elle est exécutée par le Client et acceptée par RingCentral. RingCentral peut accepter une Commande en commençant à exécuter les Services demandés. Les Services commenceront à la Date de début. Le Client peut acheter des services, des logiciels et du matériel supplémentaires en passant des Commandes via le Portail administratif.

B. Descriptions de Service

La ou les notes applicables aux Services du Client sont incorporées et font partie du présent Accord.

RingCentral Office est un service de communications unifiées dans le cloud, qui inclut des fonctions vocales, de fax, de texte, de traitement des appels, des applications mobiles et une capacité BYOD qui s’intègre à une liste d’applications de plus en plus longue. La Note de Service pour RingEX est disponible à l’adresse https://www.ringcentral.fr/legal/office-service-attachment.html.

C. Équipement

Le Client peut acheter ou louer du matériel à utiliser avec les Services auprès de RingCentral. Les conditions générales qui régissent une telle transaction se trouvent sur :

D. Période du présent Accord

La période du présent Accord débutera à la Date d’effet et continuera jusqu’à résiliation ou expiration du dernier Formulaire de commande, à moins qu’il ne soit résilié plus tôt conformément à ses dispositions.

E. Période et renouvellement automatique des Services

La Période des Services commencera à partir de la Date de début de la Commande initiale et continuera tout au long de la durée initiale prévue dans la Commande initiale (« Période initiale »). Lors de l’expiration de la Période initiale, les Services récurrents seront automatiquement renouvelés pour des périodes successives de la même longueur que la Période initiale (chaque période est une « Période de renouvellement »), sauf si le client donne un préavis de non-renouvellement au moins trente (30) jours avant l’expiration de la Période initiale ou de renouvellement. La période pour l’ensemble des Services récurrents ajoutés au Compte après la soumission de la Commande initiale commencera à la Date de début de la commande suivante, s’exécutera de manière contiguë avec la Période des Services préexistants alors en vigueur, et sera facturée sur le même cycle de facturation que les Services préexistants.

3. Facturation et paiement

A. Prix et frais

Tous les prix sont indiqués en livres sterling ou en euros, comme notifié sur le site Web ou le Portail administratif. Des frais supplémentaires peuvent s’appliquer si le Client active des fonctions supplémentaires, dépasse les seuils d’utilisation ou achète des Services ou du matériel supplémentaires. Le Client sera responsable de tous les frais occasionnés par l’utilisation des Services sur son Compte.

Les frais récurrents pour les Services commencent à la Date de début, et continueront pendant la Période. Les frais récurrents (tels que des frais pour les Lignes numériques, les licences des produits, les minutes, les forfaits et la location de matériel), une fois encourus, resteront en vigueur pour la période. RingCentral doit fournir un préavis concernant toute proposition d’augmentation de ces frais au plus tard trente (30) jours avant la fin de la Période initiale ou de renouvellement alors en vigueur, et cette augmentation sera effective le premier jour de la Période de renouvellement suivante.

Les tarifs des Appels sortants seront appliqués selon les taux en vigueur au moment de l’utilisation. Le Client peut consulter les taux actuellement en vigueur sur le Portail administratif.

B. Facturation et paiement

L’ensemble des Services et du matériel doivent être achetés par carte de crédit ou de débit valide au moment de l’achat. En fournissant une carte de crédit ou de débit valide, le client autorise expressément la facturation de tous les frais de Services et de matériel sur cette carte de paiement. Les frais récurrents sont facturés sur la carte de crédit ou de débit associée à votre Compte mensuellement et à l’avance pour ces Services et ce matériel dans le mois suivant. Les paiements par carte de crédit et de débit sont soumis à l’approbation de l’émetteur de la carte, et RingCentral ne pourra être tenu responsable de quelque façon que ce soit si un émetteur de carte refuse d’accepter une carte de crédit ou de débit pour une raison quelconque. Le Client est responsable de tout refus de carte de crédit ou des frais semblables suite aux paiements refusés ou rejetés que RingCentral est en droit de facturer en vertu du présent Accord. Si la carte de paiement associée au Compte Client est refusée ou rejetée pour une raison quelconque, RingCentral enverra au client une notification à l’aide des coordonnées associées au Compte du Client. RingCentral peut continuer d’essayer de facturer sur la carte de paiement du Client les sommes restant à payer, les frais supplémentaires ainsi que tous les autres droits et recours disponibles pour RingCentral en vertu de cet Accord, en droit ou en équité.

Sauf indication contraire énoncée au moment de l’achat ou sur le relevé de facturation, le paiement est dû en totalité, sans déduction ou compensation, dans les trente (30) jours suivant la date inscrite sur le relevé de facturation. En cas de non-paiement à l’échéance prévue, des intérêts correspondant au moins élevé des deux taux suivants seront dus : (i) taux prévu par la loi britannique de 1998 sur les intérêts de retard de paiement des dettes commerciales (Late Payment of Commercial Debts (Interest) Act 1998) ; ou (ii) taux le plus élevé prévu par la Loi. L’acceptation des paiements en retard ou des paiements partiels par RingCentral (quelle que soit la mention ou indication qui les caractérise (notamment, sans s’y limiter, les mentions « Intégralement acquitté », « Accord et satisfaction » ou similaires)) ne peut en rien entraver ou limiter les droits de RingCentral en matière de perception des sommes qui lui sont dues. En cas de non-paiement des sommes dues dans un délai de trente (30) jours à compter de la date d’échéance, RingCentral se réserve le droit de mettre fin aux Services et à l’Accord.

C. Taxes

Tous les taux, les frais et les charges pour lesquels le Client est seul responsable s’entendent hors taxes applicables. Les taxes peuvent varier en fonction de la compétence et des Services proposés. Si une retenue d’impôt est perçue sur les paiements, le Client doit alors augmenter les sommes versées à RingCentral, afin que le montant reçu par RingCentral après la retenue d’impôt soit déduit du montant complet que RingCentral aurait reçu si aucune retenue ou déduction n’avait été faite.

D. Litiges en matière de facturation

Si un Client conteste de manière raisonnable et de bonne foi une quelconque partie des frais de RingCentral, il doit fournir un préavis écrit à RingCentral dans les trente (30) jours suivant la date de facturation, en identifiant le motif de la contestation et le montant contesté. Un litige avec le Client concernant une partie de la facture n’excusera pas le Client de son obligation de payer en temps opportun la partie non contestée de la facture. Après résolution, le Client doit régler les montants non payés dans les trente (30) jours, le cas échéant. Tous les montants qui s’avèrent être erronés et entraînent un versement excédentaire par le Client seront appliqués en tant que crédit sur la facturation des frais futurs. Le Client sera remboursé des crédits de facturation en suspens au moment de l’expiration ou de la résiliation du présent Accord.

4. Prestation du Service

A. Conditions générales

RingCentral fournira les Services comme indiqué dans la Note de Service jointe correspondante. RingCentral peut améliorer, remplacer et/ou modifier les fonctions des Services, mais il ne réduira pas matériellement les caractéristiques de base, les fonctions, ou la sécurité des Services pendant la Période sans consentement du Client.

B. Assistance client
  • Le Client doit fournir une assistance de premier niveau complète aux Utilisateurs finaux du Client. RingCentral peut exiger que le personnel du Centre d’assistance du Client suive une série de formations sur les Services RingCentral. Cette formation sera fournie en ligne gratuitement par RingCentral.
  • RingCentral mettra l’assistance de niveau deux à distance à disposition du personnel du Centre d’assistance du Client et/ou aux Administrateurs de compte via le centre, qui sera à votre disposition 24h/24 7j/7, pour tenter de résoudre les problèmes techniques rencontrés lors de l’utilisation des Services et de répondre aux questions s’y rapportant. Les services sur site et de mise en œuvre de services ne sont pas inclus dans l’Assistance Client de RingCentral.
  • Le Client peut ouvrir un billet auprès de l’Assistance client de RingCentral à l’adresse suivante https://support.ringcentral.com/fr/fr/ressources.html. Toute personne qui contacte l’Assistance client au nom du Client doit être autorisée à le faire au nom du Compte, et sera tenue de suivre le protocole d’authentification de RingCentral.
C. Services professionnels

RingCentral propose une large gamme de services professionnels, notamment des services de mise en œuvre sur site ou à distance ; des services d’entreprise étendus, dont une supervision proactive du réseau dédié et un support technique premium ; et des services de consultation. Ces services sont régis par cet Accord, par les dispositions des Services professionnels, et par tous les énoncés des travaux (ET) éventuellement joints en annexe.

D. Sous-traitance

RingCentral peut fournir les Services ci-dessous via l’une de ses filiales ou l’un de ses sous-traitants, à condition que RingCentral porte le même degré de responsabilité pour les actes et omissions des sous-traitants agissant pour le compte de RingCentral dans l’exécution de ses obligations en vertu de cet Accord que si de tels actes et omissions étaient effectués directement par RingCentral.

5. Utilisation du Service

A. Exigences en matière de service

Les Services dépendent d’un accès à Internet, aux réseaux et à l’électricité constant et suffisant, comme indiqué dans les critères de suffisance technique de RingCentral, disponibles sur https://www.ringcentral.fr/legal/technical-sufficiency-criteria.html. RingCentral ne sera pas responsable des lacunes dans la prestation des Services si le réseau du Client ne répond pas aux critères de suffisance technique de RingCentral.

B. Politiques relatives à l'usage

Le Client et ses Utilisateurs finaux peuvent utiliser les Services uniquement en conformité avec le présent Accord, la Loi applicable, et les Politiques d’utilisation mentionnées ci-dessous, qui sont incorporés et font partie du présent Accord. Le Client ne peut pas utiliser, ou permettre l’utilisation des Services, pour perturber l’utilisation des services RingCentral par d’autres personnes ou le fonctionnement du Réseau RingCentral. Le Client ne peut pas revendre les Services. Le Client doit s’assurer que ses Utilisateurs finaux respectent les Politiques d’utilisation. Le non-respect de la présente Section (Politiques d’utilisation) sera considéré comme une violation du présent Accord.

RingCentral peut mettre à jour les Politiques d’utilisation ponctuellement et enverra une notification au Client à l’adresse e-mail correspondant au compte. Ces mises à jour entreront en vigueur trente (30) jours après l’envoi de la notification au client.

  1. Politique d’utilisation acceptable

    Les Services doivent être utilisés conformément à la Politique d’utilisation acceptable de RingCentral, disponible à l’adresse suivante : https://www.ringcentral.fr/legal/acceptable-use-policy.html.

    3. Nonobstant toute disposition contraire du présent Accord, RingCentral peut agir immédiatement et sans préavis pour suspendre ou limiter les Services si RingCentral soupçonne raisonnablement une activité illégale ou frauduleuse au niveau du Compte Client, une infraction grave à la Politique d’utilisation acceptable, ou une utilisation des Services qui pourraient interférer avec le fonctionnement du Réseau de RingCentral, à condition que cette suspension ou limitation se fasse uniquement dans la mesure raisonnablement nécessaire pour protéger la condition, l’activité ou l’utilisation applicable. RingCentral supprimera rapidement la suspension ou la limitation une fois la condition, l’activité ou l’utilisation complètement résolue et atténuée. Si le Client anticipe une activité inhabituelle, mais légitime sur son Compte, le Client doit contacter l’Assistance RingCentral à l’avance pour éviter toute interruption du Service.

  2. Services d’urgence

    La politique de RingCentral qui régit la prestation des services d’urgence accessibles via les Services est disponible à l’adresse suivante : https://www.ringcentral.fr/legal/emergency-services.html.

  3. Politiques de numérotation

    La fourniture, l’utilisation et la publication des numéros utilisés en liaison avec les Services sont régies par les politiques de numérotation de RingCentral, disponibles sur https://www.ringcentral.fr/legal/numbering-policy.html.

6. Résiliation

A. Résiliation motivée

Chaque Partie peut résilier le présent Accord et les Services achetés ci-dessous en totalité ou en partie en envoyant une notification écrite à l’autre Partie : i) si l’autre Partie enfreint l’une des clauses substantielles de cet Accord et ne parvient pas à remédier à une telle violation dans les trente (30) jours suivant la réception de cette notification ; ii) à la recommandation écrite d’une agence gouvernementale ou de réglementation suite à la modification d’une Loi applicable ou des Services ; ou iii) dès l’ouverture par ou contre l’autre Partie de procédures de faillite, de mise sous séquestre, d’insolvabilité ou de toute autre procédure, ou d’acte de cession au profit des créanciers.

B. Conséquences de la résiliation
  • Si le Client résilie les Services, une partie des Services, ou cet Accord dans son intégralité en raison d’une infraction grave de RingCentral en vertu de la Section 6(A) (Résiliation motivée), le Client ne pourra être tenu responsable des frais ou des charges découlant de la résiliation des Services pour toute période postérieure à la date d’effet de ladite résiliation (sauf de ceux issus de l’utilisation continue avant que les Services ne soient interrompus), et RingCentral fournira au Client un remboursement au prorata de tous les frais et charges prépayés et non utilisés par le Client pour les Services résiliés.
  • Si cet Accord ou les Services prennent fin pour une raison autre qu’une infraction grave de RingCentral comme défini dans la Section 14(J) (Modifications réglementaires et juridiques) le Client doit, dans la mesure permise par la Loi applicable et sans limiter tout autre droit ou recours de RingCentral, payer dans les trente (30) jours de la résiliation tous les montants accumulés avant cette résiliation, ainsi que toutes les sommes impayées pour les Services pour le reste de la Période alors en vigueur.

7. Atteinte au droit de propriété intellectuelle

A. Licence limitée
  1. Sous réserve du respect par le Client des provisions de cet Accord, RingCentral accorde au Client et à son Utilisateur final une licence limitée, personnelle, révocable, non exclusive, non transférable (autre que permise conformément à cet Accord) et non cessible pour l’utilisation des logiciels fournis ou mis à disposition par RingCentral ou le Client dans le cadre des Services (« Logiciel »), dans la mesure raisonnablement nécessaire pour utiliser les Services permis par cet Accord, seulement pour la durée pendant laquelle le Client a le droit d’utiliser les Services et à condition que le Client soit à jour avec ses obligations de paiement.
  2. Le Client ne permettra pas à ses Utilisateurs finaux :
    • d’accorder une sous-licence, de revendre, de distribuer ou de céder son droit en vertu de la licence accordée conformément au présent Accord à une autre personne ou entité ;
    • de modifier, d’adapter ou de créer des œuvres dérivées du Logiciel ou de la documentation connexe ;
    • d’effectuer la rétro-ingénierie, de décompiler, de désassembler ou de tenter d’une autre manière de dériver le code source du Logiciel ;
    • d’utiliser le Logiciel pour réaliser une analyse des infractions ou une analyse comparative, ou à d’autres fins que celles nécessaires pour utiliser les Services que le Client est autorisé à utiliser ;
    • de créer un Logiciel ou des Services concurrents ; ou
    • de retirer tout droit d’auteur ou d’autres avis de propriété ou de confidentialité à un Logiciel ou aux services.
B. Droits de propriété intellectuelle
  1. Droits de RingCentral

    2. Sauf disposition contraire expresse du présent Accord, la licence limitée accordée au Client en vertu de la Section 7(A) (Licence limitée) n’octroie aucun droit de propriété ou autres droits ou licences, exprès ou implicites, dans le cadre des Services ou des droits de propriété intellectuelle ; et aucun droit de propriété intellectuelle, aucun autre droit ou aucune licence n’est accordé, transféré ou attribué au Client, aux Utilisateurs finaux, ou à toute autre partie, implicitement, par préclusion ou par quelque moyen que ce soit. Tous les droits non expressément accordés sont réservés et détenus par RingCentral et ses concédants. Le Logiciel et les Services peuvent comprendre ou intégrer les services, les logiciels, la technologie ou les produits développés ou fournis par des tiers, notamment les logiciels ou le code open source. Le Client reconnaît que l’utilisation abusive des Services de RingCentral peut constituer une violation des droits de propriété intellectuelle du tiers.

  2. Droits du Client

    Comme c’est le cas entre RingCentral et le Client, le Client conserve la propriété de tous les droits de propriété intellectuelle détenus par le Client ou ses fournisseurs. Dans la mesure raisonnablement nécessaire ou souhaitable pour la prestation des Services, le Client accorde à RingCentral une licence limitée, personnelle, non exclusive et sans frais pour utiliser les droits de propriété intellectuelle du Client dans le même cadre. Le Client doit fournir (et est seul responsable de la mise à disposition) les notifications nécessaires et obtenir l’ensemble des licences, consentements, autorisations ou autres approbations relatives à l’utilisation, à la reproduction, à la transmission ou à la réception de tout Contenu Client qui comprend des Informations personnelles ou confidentielles ou intègre des droits de propriété intellectuelle tiers.

C. Utilisation des marques

Aucune Partie ne peut utiliser ou afficher les marques commerciales, les marques de service ou les logos de l’autre Partie d’une quelconque façon sans consentement préalable écrit.

8. Confidentialité

A. Restrictions d’utilisation ou divulgations par l’une ou l’autre Partie

Pendant la Période du présent Accord et jusqu’à au minimum un (1) an après, la Partie destinataire doit conserver les Informations confidentielles de la Partie divulgatrice en toute confiance, peut uniquement utiliser ces Informations confidentielles dans le but de s’acquitter de ses obligations en vertu du présent Accord, et doit assurer un niveau de protection des Informations confidentielles au minimum élevé lorsqu’elle les utilise pour protéger ses propres Informations confidentielles.

Chaque Partie ne peut divulguer des Informations confidentielles qu’à des employés, agents ou sous-traitants qui en ont besoin pour exécuter ou exercer ses droits ou obligations en vertu du présent Accord et qui sont nécessaires pour le protéger contre la divulgation non autorisée d’une manière au moins aussi protectrice que requise conformément au présent Accord. Chaque partie peut divulguer les Informations confidentielles de l’autre Partie dans le cadre d’une procédure judiciaire ou à une entité gouvernementale comme le prévoit la Loi.

Ces restrictions relatives à l’utilisation ou à la divulgation d’Informations confidentielles ne s’appliquent pas aux informations : développées indépendamment par la Partie destinataire ou légalement reçues sans restriction par une autre source ayant le droit de fournir de telles informations ; qui deviennent accessibles au grand public sans violation du présent Accord par la Partie destinataire ; qui, au moment de la divulgation, étaient déjà connues de la Partie destinataire et sans restriction comme en témoigne la documentation en sa possession ; ou pour lesquelles la Partie divulgatrice confirme par écrit l’absence de restrictions.

En cas de résiliation du présent Accord, la Partie destinataire procédera rapidement à la suppression, à la destruction ou, à la demande de la Partie divulgatrice, à la divulgation de toutes les Informations confidentielles en la possession de la Partie divulgatrice, notamment la suppression ou le fait de rendre inutilisables tous les fichiers électroniques et données qui contiennent des Informations confidentielles et, sur demande, fournira à la Partie divulgatrice la certification de conformité de cette sous-section.

9. Protection des données

A. Confidentialité des données

RingCentral respecte la vie privée du Client et s’engage à utiliser les informations fournies par le Client à RingCentral ou recueillies dans la prestation des Services conformément à : (a) la Politique de confidentialité, disponible à l’adresse suivante : https://www.ringcentral.fr/legal/privacy-notice.html ; et (b) l’Accord sur la protection des données de RingCentral, disponible à l’adresse suivante : https://www.ringcentral.fr/legal/dpa.html ; intégrés par renvoi à la présente. RingCentral peut mettre à jour la Politique de confidentialité de l’Accord sur la protection des données ponctuellement et enverra une notification au Client concernant ces mises à jour à l’adresse e-mail correspondant au Compte. Ces mises à jour entreront en vigueur trente (30) jours après l’envoi de la notification au client.

B. Sécurité des données

RingCentral prendra des précautions raisonnables sur le plan commercial, notamment, sans s’y limiter, des mesures techniques (par exemple, les pare-feu et le chiffrement des données), administratives et physiques appropriées, afin d’assurer la sécurité du Compte Client, des Données du Compte et du Contenu Client contre toute utilisation, divulgation ou modification non autorisée.

Le Client doit protéger tous les points de terminaison à l’aide de mesures de sécurité conformes aux normes du secteur. Le Client est seul responsable de la protection de l’ensemble des identifiants et des mots de passe. Le Client doit superviser l’utilisation des Services pour déceler une éventuelle utilisation frauduleuse ou illégale. Le Client doit immédiatement avertir RingCentral s’il a connaissance ou a des raisons de croire que les Services sont utilisés de manière frauduleuse ou sans autorisation par un Utilisateur final ou un tiers. À défaut d’en informer RingCentral, le Client s’expose à l’interruption ou à la résiliation des Services et à des frais supplémentaires résultant de cette utilisation. RingCentral ne pourra être tenu pour responsable des frais résultant d’une utilisation non autorisée du Compte Client.

C. Changements de logiciels

RingCentral peut ponctuellement déployer des mises à jour et des correctifs de logiciels et les installer directement sur l’appareil ou les appareils du Client. Le Client n’empêchera pas RingCentral de le faire. Le Client doit mettre en œuvre rapidement toutes les corrections, mises à jour, mises à niveau et tous les remplacements de logiciels et de logiciels tiers qui peuvent être fournis par RingCentral. RingCentral ne pourra être tenu responsable de tout dysfonctionnement des Services ou de tout autre échec des Services occasionnés par l’incapacité du Client à mettre en œuvre les modifications requises en temps opportun.

10. Limitation de responsabilité

A. Dommages exclus

DANS TOUTE LA MESURE PERMISE PAR LA LOI, EN AUCUN CAS L’UNE DES PARTIES OU SES AFFILIÉS NE SERONT RESPONSABLES (1) DES DOMMAGES INDIRECTS, ACCIDENTELS, CONSÉCUTIFS, EXEMPLAIRES, LIÉS À LA RÉPUTATION OU PUNITIFS D’AUCUNE SORTE ; (2) DES COÛTS D’APPROVISIONNEMENT, DE COUVERTURE, DES SERVICES OU DES BIENS DE REMPLACEMENT ; (3) DE LA PERTE DE JOUISSANCE, DE LA PERTE OU DE LA CORRUPTION DE DONNÉES ; OU (4) DE LA PERTE D’OPPORTUNITÉS COMMERCIALES, DE PROFITS, DE CLIENTÈLE, OU D’ÉPARGNE, EN CE QUI CONCERNE L’UN DES ÉLÉMENTS SUSMENTIONNÉS. SURVENANT DANS LE CADRE D’UN CONTRAT, D’UNE GARANTIE, D’UNE RESPONSABILITÉ DÉLICTUELLE (NOTAMMENT D’UNE NÉGLIGENCE OU D’UNE RESPONSABILITÉ STRICTE), OU DE TOUTE AUTRE THÉORIE DE LA RESPONSABILITÉ, MÊME SI CETTE PARTIE A ÉTÉ INFORMÉE À L’AVANCE DE CES DOMMAGES OU AVAIT PU RAISONNABLEMENT LES PRÉVOIR. AUCUNE PARTIE NE POURRA ÊTRE TENUE RESPONSABLE D’ACTIONS RAISONNABLEMENT PRISES POUR SE CONFORMER À LA LOI.

B. Dommages-intérêts directs

SOUS RÉSERVE DES PRÉSENTES, LA RESPONSABILITÉ CUMULATIVE TOTALE DES PARTIES EN VERTU DU PRÉSENT ACCORD NE DÉPASSERA PAS LES MONTANTS PAYÉS OU PAYABLES EN VERTU DE CET ACCORD AU COURS DES SIX (6) MOIS PRÉCÉDENTS. LES RESTRICTIONS PRÉVUES PAR CETTE SECTION 10(B) (DOMMAGES DIRECTS) NE S’APPLIQUERONT PAS POUR : I) LES OBLIGATIONS DE PAIEMENT DU CLIENT ; II) LA RESPONSABILITÉ DE L’UNE DES PARTIES CONCERNANT LA VIOLATION DES DROITS DE PROPRIÉTÉ INTELLECTUELLE DE L’AUTRE PARTIE ; III) LA RESPONSABILITÉ DE L’UNE DES PARTIES DÉCOULANT D’UNE NÉGLIGENCE GRAVE, D’UNE FRAUDE OU D’UN COMPORTEMENT CRIMINEL ; OU IV) LA RESPONSABILITÉ DU CLIENT RÉSULTANT DE L’UTILISATION DES SERVICES EN VIOLATION DE LA POLITIQUE D’UTILISATION ACCEPTABLE OU DE LA POLITIQUE EN MATIÈRE DE SERVICES D’URGENCE.

RIEN DANS LE PRÉSENT ACCORD NE DOIT LIMITER OU EXCLURE LA RESPONSABILITÉ D’UNE PARTIE POUR DÉCÈS OU LÉSION CORPORELLE PAR NÉGLIGENCE, OU POUR TOUTE AUTRE RESPONSABILITÉ QUI NE PEUT PAS ÊTRE RESTREINTE, LIMITÉE OU EXCLUE CONFORMÉMENT À LA LOI APPLICABLE.

C. Maintien

Les limitations de responsabilité contenues dans cette Section 10 (Limitation de responsabilité) demeureront en vigueur nonobstant la résiliation ou le terme du présent Accord et s’appliquent dans toutes circonstances (sauf dans les conditions expressément énoncées ci-dessus), notamment, sans limitation, en cas de manquement à l’objet essentiel de quelque garantie limitée ou recours disponible que ce soit prévu dans les présentes.

11. Indemnisation

A. Obligations d’indemnisation

Le Client s’engage à indemniser et à défendre RingCentral et ses affiliés aux frais du Client contre l’ensemble des réclamations de tiers découlant de ou en lien avec : i) la violation substantielle de la Loi applicable par le Client ou ses Utilisateurs finaux dans le cadre de l’utilisation des Services ; ii) l’utilisation des Services d’une manière non autorisée par le présent Accord ; iii) l’incapacité d’installer rapidement les mises à jour des logiciels ou micrologiciel ou le fait d’accepter ou d’utiliser des éléments modifiés ou remplacés fournis par ou au nom de RingCentral, ou iv) des réclamations relatives au Contenu Utilisateur. En outre, le Client indemnisera et dégagera RingCentral de toute responsabilité à l’égard des dommages, coûts et frais juridiques portés contre RingCentral par un tribunal compétent concernant une telle réclamation de tiers en cause, ou convenus dans un accord de règlement approuvé par écrit par le Client.

B. Procédures d’indemnisation et de défense

Toute Partie qui cherche à être défendue ou indemnisée (la « Partie indemnisée ») doit fournir à la Partie à qui elle demande une telle indemnisation ou défense (la « Partie indemnisante ») les éléments suivants : (a) un avis écrit immédiat de la réclamation du tiers, (b) le contrôle exclusif de la défense et du règlement de la réclamation du tiers, et (c) les informations, la coopération et l’assistance raisonnable en rapport avec la défense et le règlement de la réclamation du tiers. L’incapacité de la Partie indemnisée à respecter les obligations qui précèdent ne dispense pas la Partie indemnisante de ses obligations de défense ou d’indemnisation en vertu de la présente Section (Indemnisation), sauf dans la mesure où la partie indemnisante est lésée par un tel manquement. La Partie indemnisée a le droit de participer à ses propres frais à la défense d’une telle réclamation de tiers, notamment aux négociations de règlement concernées. Une telle réclamation ne peut être réglée ou compromise par la Partie indemnisante sans le consentement écrit exprès de la Partie indemnisée (qui ne peut pas être déraisonnablement refusé, conditionné, ou retardé), à moins qu’un tel règlement ou compromis inclue une version complète de toutes les réclamations et actions contre la Partie indemnisée par chaque partie qui présente cette réclamation tierce.

12. Garanties

A. Garantie RingCentral

RingCentral fournira les Services sur la base d’une diligence et de compétences raisonnables, essentiellement en conformité avec toutes les Lois applicables ou soumises aux provisions du présent Accord. Dans la mesure permise par la loi, RingCentral doit transmettre au Client toutes les garanties que RingCentral reçoit en lien avec le matériel fourni au Client.

B. Garantie Client

L’utilisation des Services par le Client et ses Utilisateurs finaux doit respecter en tout temps les Lois applicables et cet Accord.

C. Exclusion de garanties

EXCEPTÉ DANS LES CONDITIONS EXPRESSÉMENT FIXÉES DANS LE PRÉSENT ACCORD ET DANS TOUTE LA MESURE PERMISE PAR LA LOI, LES SERVICES SONT FOURNIS « EN L’ÉTAT » ET « SELON LES DISPONIBILITÉS » ET RINGCENTRAL N’OFFRE AUCUNE AUTRE GARANTIE, EXPRESSE OU IMPLICITE, NOTAMMENT, MAIS SANS S’Y LIMITER, AUCUNE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE, DE NON-VIOLATION, DE JOUISSANCE PAISIBLE ET DE CONFORMITÉ À UN USAGE PARTICULIER, NI AUCUNE AUTRE GARANTIE DÉCOULANT DU COURS DE TRANSACTION OU D’USAGES DU COMMERCE, AINSI QU’AUCUNE AUTRE GARANTIE SIMILAIRE, QU’ELLE SOIT ISSUE OU NON D’UNE LOI. DANS LA MESURE OÙ RINGCENTRAL NE PEUT EXCLURE DE TELLES GARANTIES EN VERTU DE LA LOI EN VIGUEUR, LEUR CHAMP ET LEUR DURÉE SERONT LIMITÉS DANS TOUTE LA MESURE PERMISE PAR LADITE LOI.

13. Résolution des litiges

A. Tentative de régler les litiges de bonne foi

En cas de litige ou de réclamation découlant de ou lié à l’Accord (un « Litige »), chaque Partie nomme un représentant dûment autorisé qui s’entretiendra avec l’autre Partie avant que l’une des Parties intente une action en justice, afin de faire un effort raisonnable et de bonne foi pour régler ou résoudre d’une autre façon ce Litige.

RingCentral est membre du CISAS (Communications and Internet Services Adjudication Scheme). Cette entité indépendante a vocation à résoudre les problèmes liés aux Services du Forfait que nous fournissons et au service que vous recevez. Pour plus d’informations sur la marche à suivre pour faire part d’un litige ou déposer une plainte auprès du CISAS, veuillez consulter le site www.cisas.org.uk.

B. Instance

Dans le cas où les Parties ne parviennent pas à régler un litige, toute action, poursuite ou procédure liée doit être présentée et statuée exclusivement par les tribunaux anglais. Chaque Partie accepte de se soumettre à l’instance exclusive et à la juridiction personnelle de ces tribunaux, à l’égard de telles actions ou poursuites, et renonce irrévocablement à tout droit dont elle pourrait disposer pour affirmer que l’une ou l’autre instance n’est pas pratique ou que tel tribunal est incompétent.

Rien dans cette section ne doit porter atteinte aux droits des clients d’une petite entreprise dont le Pays d’origine est le Royaume-Uni, comme décrit plus en détail dans la Section 13A ci-dessus.

C. Compensation Équitable

Toute violation des droits de propriété intellectuelle d’une des Parties entraînera pour cette Partie un préjudice irréparable pour lequel il ne sera pas possible d’octroyer des dommages-intérêts. Cette Partie peut, en plus d’autres recours à sa disposition en droit ou en équité, obtenir des mesures d’injonction, sans nécessité de dépôt de caution ou autre garantie, preuve de dommage ou autre exigence similaire, en plus de toute autre compensation à laquelle la Partie a droit en vertu de la Loi applicable.

D. Limitations

À l’exception des actions suite au non-paiement ou à la responsabilité découlant de la Section 10 (Indemnisation), aucune réclamation, poursuite, action ou procédure relative au présent Accord ne peut être portée en justice par l’une des Parties plus de deux (2) ans après la survenue du litige. Toute action, poursuite ou procédure sera exclusivement menée sur une base individuelle et les Parties renoncent expressément à intenter une action, poursuite ou procédure sous forme de recours collectif, d’action de groupe ou d’action générale d’un mandataire privé, ou toute autre procédure au cours de laquelle une partie agirait ou proposerait d’agir à titre de représentant.

14. Divers

A. Relations avec les Parties

RingCentral et le Client sont des contractuels indépendants et cet Accord ne crée aucune relation de partenariat, de coentreprise, d’emploi, de franchise ou d’agence entre RingCentral et le Client.

B. Cession

Aucune des Parties ne peut céder le présent Accord ou toute partie de celui-ci sans l’accord écrit de l’autre Partie (qui ne peut pas être déraisonnablement refusé ou retardé). Cependant, chaque Partie peut céder l’Accord et l’ensemble de ses droits et obligations y afférents sans consentement (a) à un Affilié ; (b) au successeur ou à la société de la Partie issue d’une fusion, d’une acquisition, d’un regroupement, de la vente de la totalité ou de la presque totalité de ses actifs utilisés en lien avec la provision des Services conformément à l’Accord ou (c) dans le cadre du transfert ou de la cession de plus de cinquante pour cent (50 %) des actions ou actifs de RingCentral. Cet Accord aura force obligatoire et entrera en vigueur au bénéfice des Parties et des leurs successeurs et cessionnaires autorisés.

C. Notifications

Sauf dispositions expressément contraires du présent Accord, toutes les notifications ou autres communications doivent être rédigées en anglais et sont considérées comme entièrement effectives lorsqu’elles sont faites par écrit et remises en personne, envoyées par e-mail, par fax avec confirmation, ou cinq jours après le dépôt auprès d’un service de livraison du jour au lendemain réputé à l’adresse suivante : to RingCentral at RingCentral, Inc., Legal Dept., c/o Oakwood Corporate Services, 3rd Floor, 1 Ashley Road, Altrincham, Cheshire, WA14, avec une copie envoyée à l’adresse [email protected] et au Client à l’adresse physique ou e-mail associée à son Compte. Le Client reconnaît et convient que toutes les notifications électroniques ont la même force et le même effet que les notifications papier.

Les adresses auxquelles les notifications peuvent être adressées par l’une des Parties peuvent être modifiées via une notification écrite envoyée à l’autre Partie conformément à la présente Section ou par le Client dans le Portail administratif.

D. Cas de force majeure

À l’exception des obligations de paiement de chaque Partie stipulées par l’Accord, aucune Partie ne pourra être tenue pour responsable en cas d’absence ou de retard d’exécution découlant d’un événement ou de circonstances échappant à son contrôle, notamment, sans s’y limiter : force majeure ; urgence nationale ; réseaux de télécommunications tiers ; émeute ; guerre ; terrorisme ; mesure ou directive gouvernementale ; évolution des lois ; coupure de la fibre, du câble ou du fil ; coupure ou réduction de courant ; rébellion, révolution, insurrection, tremblement de terre, tempête, ouragan, inondation, incendie, ou autres catastrophes naturelles ; grève ou conflit social ; ou pour toute autre cause, ou autres événements ou circonstances semblables ou non à ce qui précède, ne résultant pas de l’action ou l’inaction de cette Partie.

E. Bénéficiaires tiers

RingCentral et le Client conviennent que le présent Accord n’aura aucun bénéficiaire tiers en vertu de la loi britannique « Contracts (Rights of Third Parties) Act 1999 » ou pour un autre motif.

F. Activités des clients internes

RingCentral n’a aucune obligation d’apporter son aide ou de servir de médiateur d’une quelconque manière en cas de litige entre les représentants du Client ou le Client et tout tiers à l’égard de la propriété ou du contrôle d’un Compte ou des Données de compte. Toutes les informations contenues dans les dossiers de RingCentral concernant la propriété ou le contrôle d’un Compte ou des Données d’un compte, des Services commandés, et des numéros attribués à un Compte seront définitives et serviront à contrôler les fins d’administration du Compte. Si un tel litige se produit, RingCentral peut prendre toutes les mesures jugées nécessaires sur la base des informations disponibles, notamment refuser d’entreprendre toute action.

RingCentral peut accéder à votre Compte et aux données requises pour fournir les Services. Cependant, RingCentral n’a aucune obligation d’accéder à votre Compte, aux Données du compte ou à tout Contenu Client à d’autres fins. Les Services n’incluent pas ou ne se composent pas de services d’enquête, d’examen, de vérification, de génération, de compilation, de modification, ou d’autres services similaires pour n’importe quelles Données de compte ou n’importe quel Contenu Client. Ils n’incluent pas la prestation de services d’ordre juridiques, comptables ou d’autres services professionnels.

G. En-têtes, interprétation

Les en-têtes, titres de section, et sous-titres utilisés dans l’Accord servent uniquement de référence et n’auront aucun effet juridique. Tous les termes définis comprennent des formes grammaticales et, chaque fois que le contexte le nécessite, la forme singulière des noms et pronoms comprend le pluriel, et inversement. Les Parties conviennent que le présent Accord sera considéré comme ayant été rédigé conjointement et à parts égales par eux, et que les dispositions du présent Accord ne doivent donc pas être interprétées à l’encontre d’une Partie ou des Parties, sous prétexte que la Partie ou les Parties ont rédigé l’Accord ou étaient plus responsables de la rédaction de la ou des dispositions.

H. Droit applicable

L’Accord est régi par les lois d’Angleterre et du Pays de Galles, sauf les règles de droit. La Convention des Nations Unies sur les Contrats de vente internationale de marchandises ne s’applique pas au présent Accord ou à l’utilisation par le Client des produits ou Services.

I. Anticorruption

Dans l’exécution du présent Accord et de ses obligations en vertu de cet Accord, chaque partie déclare s’être conformée à et respecter l’ensemble des lois et règlements anticorruption, notamment, mais sans s’y limiter, au Foreign Corrupt Practices Act des États-Unis, au Bribery Act du Royaume-Uni et aux autres lois applicables.

J. Contrôle de l’exportation

Tous les services, produits, logiciels, et informations techniques (notamment, mais sans s’y restreindre, les services et la formation), fournis en vertu de l’Accord doivent être soumis aux Lois et aux réglementations des États-Unis ou du Royaume-Uni en matière d’exportation. Le Client ne pourra pas utiliser, distribuer, transférer ou transmettre les services, produits, logiciels, ou informations techniques (même s’ils sont intégrés à d’autres produits), sauf pour se conformer aux réglementations en matière d’exportation des États-Unis et du Royaume-Uni, entre autres.

K. Modifications réglementaires et juridiques

En cas de modification de la Loi, de réglementation ou de secteur qui interdirait ou interférerait sensiblement d’une autre manière avec la capacité de RingCentral à fournir des Services en vertu de cet Accord, RingCentral peut résilier les Services concernés ou le présent Accord, ou modifier d’une quelconque autre manière les dispositions de celui-ci.

L. Intégralité de l’Accord

L’Accord, ainsi que les Annexes, Commandes, et Notes expressément intégrées dans le présent Accord avec cette référence, constituent l’accord complet entre les Parties et annulent et remplacent l’ensemble des accords, propositions, représentations, déclarations, ententes ou documents marketing anciens ou actuels, qu’ils soient oraux, écrits, ou autre à l’égard de ce sujet.

M. Ordre de priorité

En cas de conflit entre les documents qui composent le présent Accord, la priorité sera donnée aux documents dans l’ordre décroissant suivant : (i) la Commande correspondante ; (ii) les Politiques d’utilisation et de confidentialité intégrées par renvoi dans le présent Accord ; (iii) le corps principal du présent Accord ; (iv) la Note de Service applicable ; et (v) et tout autre document expressément mentionné dans le présent Accord qui régit les Services.

N. Amendements

Sauf disposition contraire, cet Accord ne peut être modifié que par un amendement écrit (fourni par voie électronique ou autrement), adopté par les représentants autorisés des deux Parties. En aucun cas les modifications manuscrites de toute condition générale, notamment de la Commande applicable, ne prendront effet. Malgré ce qui précède, RingCentral peut mettre à jour cet Accord ou les Politiques ponctuellement et enverra une notification au Client à l’adresse e-mail associée au Compte. Ces mises à jour entreront en vigueur trente (30) jours après l’envoi de la notification au client. Dans le cas où une telle mise à jour porterait un préjudice significatif au Client et n’est pas requise par la Loi, le client doit informer RingCentral de son opposition dans un délai de dix (10) jours suivant la réception du préavis fourni en vertu de cette disposition. Si les Parties, après avoir négocié de bonne foi, ne parviennent pas à un accord dans un délai de trente (30) jours, le Client peut résilier la partie des Services concernée par le changement sans pénalité via une notification écrite à RingCentral. Passée la date d’effet, le fait d’utiliser les Services signifiera que vous acceptez la modification.

O. Renonciation et dissociabilité

Dans le cas où une disposition quelconque du présent Accord est jugée invalide, nulle ou inapplicable par un tribunal, cette ou ces dispositions seront retirées et le reste de l’Accord restera légal, valide et exécutoire. L’incapacité par l’une ou l’autre partie d’exercer ou d’appliquer tout droit conféré par le présent Accord ne doit pas être considérée comme une renonciation à ce droit ou empêcher l’exercice ou l’exécution de n’importe quel autre droit par la suite. Sauf stipulation contraire expressément contenue dans l’Accord, tous les droits et recours indiqués dans l’Accord se cumulent et s’ajoutent aux autres droits et recours disponibles dans le cadre de l’Accord, en droit ou en équité.

P. Publicité

Nonobstant toute disposition contraire du présent Accord, le Client RingCentral peut s’identifier en tant que Client (notamment en utilisant l’un des logos ou l’une des marques commerciales réservés aux Clients) et peut se référer à cet Accord au cours de ses appels portant sur les résultats et dans le cadre de ses ententes commerciales, des communiqués de presse et des documents marketing et/ou promotionnels.

Q. Exécution

Chaque Partie déclare et garantit : (a) qu’elle a le droit et la capacité juridique de conclure l’Accord et d’assumer toutes les obligations qui lui incombent en vertu de ce dernier ; b) que l’individu qui utilise une signature électronique dans le cadre de l’Accord au nom de la Partie a les pleins pouvoirs et la pleine autorité d’établir et de délivrer les mêmes documents ; et (c) que l’Accord sera une obligation contraignante de cette Partie.

R. Signature électronique et contreparties

L’Accord peut être exécuté par voie électronique dans différentes contreparties qui, rassemblées, constituent le seul et même document original. Chaque Partie convient qu’une signature électronique, qu’elle soit numérique ou chiffrée, est destinée à authentifier le présent Accord et à avoir la même force et le même effet que les signatures manuscrites.

S. Maintien

Les droits et obligations de chacune des Parties qui, par leur nature, se poursuivent au-delà de l’expiration ou de la résiliation du présent Accord ou d’une Commande, demeureront en vigueur nonobstant la résiliation ou le terme du présent Accord, notamment, sans s’y limiter, les obligations de paiement, les indemnités, les exclusions de garanties, les limitations de responsabilité, les définitions et les éléments divers.

Annexe A - Définitions

Définitions. Les termes en majuscules utilisés dans le cadre du présent Accord, mais non définis ont la signification suivante :

  • « Compte » désigne un compte assorti d’un numéro, ouvert auprès de RingCentral et associé au Client et aux Services fournis au Client en vertu du présent Accord. Afin de faciliter la facturation, plusieurs Services, Lignes numériques, ou Utilisateurs finaux peuvent être inclus dans un seul compte de facturation, et/ou un seul Client peut avoir plusieurs comptes de facturation qui englobent plusieurs secteurs géographiques, unités commerciales, ou d’autres désignations demandées par le Client et acceptées par RingCentral.
  • « Administrateur de compte » désigne la ou les personnes autorisées par le client à mettre en place, modifier ou contrôler les paramètres et/ou à effectuer des achats supplémentaires pour le Compte via le Portail administratif. Les Administrateurs de compte peuvent avoir différents niveaux de droits, de compétences ou de permissions par rapport au Compte.
  • « Données de compte » se rapporte à toutes les coordonnées de l’entreprise fournies avec le Compte ; les journaux générés par RingCentral lors des appels ou d’autres métadonnées développées ou recueillies dans le cadre de la prestation des services ; les données de configuration ; et les registres des Lignes numériques et des Services achetés en vertu du présent Accord.
  • « Portail administratif » se rapporte au portail administratif en ligne via lequel les Administrateurs de compte contrôlent les paramètres et/ou effectuent des achats supplémentaires pour le Compte.
  • « Affilié(s) » désigne une personne physique ou morale qui contrôle une autre Partie, est contrôlée par cette dernière ou est placée sous un contrôle commun avec celle-ci et « contrôle » désigne la propriété bénéficiaire de cinquante pour cent (50 %) de tous les titres avec droits de vote ou droits de participation d’une entité.
  • « Informations confidentielles » désigne les informations divulguées par ou au nom de la Partie divulgatrice à la Partie destinataire, qui doivent raisonnablement être considérées comme confidentielles compte tenu de la nature des informations et des circonstances de sa divulgation.
  • « Contenu Client » désigne le contenu des appels, fax, SMS, messages vocaux, enregistrements vocaux, fichiers partagés, visioconférences ou autres communications transmises ou stockées via les Services.
  • « Ligne numérique » désigne un numéro de téléphone attribué à un Utilisateur final ou à un emplacement spécialement désigné (par exemple, la salle de conférence) et le service vocal associé pour les appels entrants et sortants qui permet généralement à l’Utilisateur final de passer et de recevoir des appels vers et depuis le réseau téléphonique public commuté, ainsi que vers et depuis d’autres extensions au sein du même Compte.
  • « Partie divulgatrice » désigne la Partie qui divulgue des Informations confidentielles ou au nom de laquelle les Informations confidentielles sont divulguées par ses agents, notamment, sans s’y limiter, ses Affiliés, administrateurs, dirigeants, employés et mandataires.
  • « Litige » a la signification indiquée à la Section 13(A) (Tentative de régler les litiges de bonne foi).
  • « Signature électronique » signifie un son électronique, un symbole, ou un processus, notamment le fait de cliquer sur un bouton numérique pour accepter, joindre ou pour logiquement associer un contrat ou un autre document ; exécuté ou adopté par une personne avec l’intention de signer le document.
  • « Point de terminaison » désigne une application ou un appareil permettant à n’importe quel Utilisateur final d’accéder et/ou d’utiliser les Services, notamment, sans limitation, les Téléphones de bureau IP, les Clients de bureau, les Clients Web, les Applications mobiles, et les Intégrations logicielles.
  • « Utilisateur final » signifie un utilisateur pour qui le Client rend les Services disponibles. Il peut s’agir d’une personne physique. Ce terme peut inclure, sans s’y limiter, les employés, les consultants, les clients, les utilisateurs externes, les invités, les sous-traitants et les agents d’un Client.
  • « Helpdesk » signifie l’assistance de premier niveau fournie aux Utilisateurs finaux par le Client.
  • « Pays d’origine » désigne le Royaume-Uni ou le pays désigné comme Votre pays principal ou d’origine dans la Commande de Services.
  • « Partie indemnisante » et « Partie indemnisée » ont la signification indiquée dans la Section 11(C) (Procédures d’indemnisation et de défense).
  • « Durée initiale » a la signification indiquée dans la Section 2(E) (Période des Services).
  • « Propriété intellectuelle » désigne le droit commun et les droits statutaires (enregistrés ou non, quelle que soit la méthode) découlant de ou liés à ce qui suit : (a) brevets et demandes de brevet, inventions, modèles industriels, découvertes, méthodes commerciales et processus ; (b) droits d’auteur ou enregistrements de droits d’auteur, et droits « moraux » ; (c) protection des secrets commerciaux, industriels et autres informations confidentielles ; (d) autres droits de propriété liés à des biens incorporels ; (e) marques commerciales, dénominations commerciales et marques de service ; (f) nom, ressemblance, voix, photographie ou signature d’une personne, notamment, sans s’y limiter, les droits liés à la personnalité, la confidentialité et la publicité ; (g) droits analogues à ceux définis précédemment ; et (h) divisions, continuations, continuations-in-part, renouvellements, réémissions et extensions de ce qui précède (le cas échéant).
  • « Loi » signifie l’ensemble des lois, statuts, règlements, règles, ordonnances, directives administratives, traités ou conventions, décisions judiciaires ou administratives ou décisions d’un organisme gouvernemental fédéral, d’État, local ou non américain ayant compétence sur les Services.
  • « Commande(s) » signifie une demande de Service décrivant le type et la quantité des Services requis par le Client et soumis et acceptés par les Parties conformément à la Section 2(A) (Commande de Services). La Commande peut être présentée et exécutée sur le site Web RingCentral ou via le Portail administratif.
  • « Partie destinataire » signifie la Partie ou ses agents, notamment, mais sans s’y limiter, ses Affiliés, administrateurs, dirigeants, employés et mandataires qui reçoivent des Informations confidentielles.
  • « Durée de renouvellement » a la signification indiquée dans la Section 2(E) (Période des Services).
  • « RingCentral Customer Care » se rapporte aux opérations d’Assistance client de RingCentral, disponibles à l’adresse suivante : https://support.ringcentral.com/fr/fr/ressources.html.
  • « Réseau RingCentral » désigne le réseau et les installations de soutien entre et parmi les points de présence RingCentral (« PoP »), jusqu’au point d’interconnexion (compris) entre le réseau RingCentral et les installations, les réseaux Internet publics, les réseaux IP privés, et le réseau téléphonique public commuté (RTPC). Le Réseau de RingCentral n’inclut pas l’Internet public, le réseau privé d’un Client, ou le réseau RTPC.
  • « Service(s) » signifie tous les services fournis en vertu du présent Accord et mis en avant dans une ou plusieurs Commande(s).
  • « Date de début » signifie la date identifiée dans la Commande correspondante ou la date à laquelle le Client commande les Services via le site Internet ou sur le Portail administratif.
  • « Taxes » signifie l’ensemble des taxes et des charges fédérales, de l’État, locales, municipales, et étrangères perçues ou recueillies auprès des Clients, notamment, sans s’y limiter, les taxes et charges du Fonds du service universel, du TRS et du 911.
  • « Période » désigne la Période initiale et les éventuelles Périodes de renouvellement.
  • « Politique d’utilisation » fait référence à l’une des politiques identifiées dans la section 4(B) (Politiques d’utilisation).
